01 · Parties
These Terms govern your use of bluegrid-systems.com (the "Site") and any services ("Services") delivered by BlueGrid Systems SIA, registration number 40203749677, registered office at "Avoti" — 15, Zentene, Zentenes pag., Tukuma nov., LV-3123, Latvia ("we", "us", "BlueGrid"). The party accessing the Site or contracting Services is referred to as "you" or "Client".
02 · Use of the website
You may use the Site for lawful informational and commercial purposes. You agree not to:
- Attempt to gain unauthorised access to the Site or its underlying systems.
- Interfere with the Site's operation, including via automated scraping at scale.
- Use the Site to distribute malware, illegal material, or content that infringes others' rights.
03 · Services
We offer three service tiers — Quick Start (€350), Premium Custom (€1,950), and Web Service & Booking Platform (from €3,200). The scope, deliverables, and timeline of each engagement are defined in a separate written proposal or statement of work, which prevails over any general description on the Site in case of conflict.
04 · Engagement & quotes
Quotes are valid for 30 days from issue unless stated otherwise. An engagement starts once you accept the proposal in writing (email is sufficient) and we confirm the kick-off date. We may decline engagements at our discretion before contract formation.
05 · Payment terms
- Quick Start — 50% on kick-off, 50% on delivery.
- Premium Custom — 40% on kick-off, 40% on design sign-off, 20% on launch.
- Platform — payment schedule defined in the engagement proposal, typically 30% / 30% / 30% / 10% across kick-off, milestones, and final delivery.
Invoices are payable within 14 days of issue, by SEPA bank transfer or Stripe. Late payments accrue interest at the rate set by the Latvian Civil Law for commercial obligations. All fees are in EUR and exclude any applicable VAT.
06 · Delivery & revisions
Timelines published on the Site are typical, not contractual; the binding timeline is in your proposal. Each tier includes a defined number of revision rounds. Additional revisions are quoted separately at our prevailing rate.
If Client feedback, content, or approvals are delayed by more than 10 working days, we reserve the right to reschedule or pause the engagement.
07 · Intellectual property
On full payment, all rights, title, and interest in the final, delivered deliverables transfer to the Client, except for: (i) third-party assets (fonts, stock imagery, third-party software) which remain governed by their respective licences, and (ii) generic frameworks, libraries, or internal tooling, which remain ours and are made available to the Client under a perpetual, non-exclusive licence.
BlueGrid retains the right to display the delivered work in its portfolio and case studies unless explicitly agreed otherwise in writing.
08 · Warranty & disclaimers
We warrant that Services will be performed with the care and skill reasonably expected of a professional studio in the EU. The Site and free informational content are provided "as is", without further warranties of any kind, express or implied, to the extent permitted by law.
09 · Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising from or related to an engagement is limited to the total fees paid by the Client under that engagement in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including lost profits, lost data, or business interruption.
Nothing in these Terms limits liability that cannot be limited by law (e.g. fraud, gross negligence, death or personal injury caused by negligence).
10 · Termination
Either party may terminate an engagement with 14 days' written notice. On termination, the Client pays for all work performed up to the termination date. Either party may terminate immediately for material breach not cured within 14 days of written notice.
11 · Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Latvia, without regard to conflict-of-law principles. Disputes will be resolved by the competent courts of Latvia. Mandatory consumer-protection rights under EU law remain unaffected.
